Managed Service Providers Terms & Conditions
Please read and complete this page if: (a) you are a managed service provider (“MSP”) that manages IT services and/or computing devices on behalf of your customers (each an “End User”), (b) you wish to purchase Absolute’s Secure Endpoint products through an Absolute-authorized distributor (a “Distributor”) and use those Absolute products as part of your managed services offering to End Users, and (c) you have already entered into an agreement with a Distributor and have applied to become an Absolute MSP (via the “Become a Partner” form on www.absolute.com).
For the purpose of this document, “you” or “your” refers to the MSP entered below in the MSP Company Name field on this page.
Once you have completed the fields below and clicked “I Agree”, and have been approved by Absolute and the Distributor to purchase Absolute products as an MSP through that Distributor, the following order and fulfillment process will apply to you.
- You may choose to manage all of your End Users through a single account within Absolute’s Hosted Service (recommended if you will be managing less than 100 devices) or to manage them in separate accounts within the Hosted Service (e.g. one account for each End User). Each of these accounts within the Hosted Service is referred to as a “Tenant Account”.
- If you choose separate Tenant Accounts, you must provide a separate email address for each Tenant Account for your login/user name, utilizing your domain name (i.e., <tenant name>@<msp domain>.com).
- If you choose a single Tenant Account, you must use an email address that signifies a group of End Users utilizing your domain name (i.e. DetroitDoctors@<msp domain>.com). You acknowledge that it is your responsibility to manage multiple End Users within the same Tenant Account (e.g. via grouping) and to track and manage your billing of End Users, and that Absolute will not provide you with any breakdown for billing purposes.
- You must purchase from the Distributor one Tenant Account setup SKU for the relevant Absolute product for each Tenant Account that you wish to enable within the Hosted Service. Each purchase order must contain the Tenant Account company name, address, and the Tenant Account administrator login email address. If you choose to have a separate Tenant Account for each End User, the Tenant Account company name and address must be the End User’s name and address. The Distributor will then bill you for the Tenant Account setup SKU(s).
- Once Absolute has received an order for the Tenant Account setup SKUs from the Distributor, Absolute will provide you with access to the relevant Tenant Account(s) within the Hosted Service, and the relevant Agent. You may then install the Agent on multiple devices across your Tenant Account(s). Each Tenant Account must have only one product type. Product types cannot be mixed in a given Tenant Account.
- The Distributor will bill you in arrears at the end of each billing period based on the number of “Billable Devices” in your Tenant Account(s). “Billable Device” means any device that was in an enrolled state at any point during the billing period. This includes devices where the Absolute Agent has not contacted the Hosted Service during the billing period, and also includes devices that were flagged for unenrollment from the Hosted Service during the billing period, but does not include devices that were flagged for unenrollment from the Hosted Service prior to the start of the billing period. Your billing period will end on the last day of the calendar month of the subscription term of the Absolute product being utilized.
- BILLING IS NOT PRO-RATED. ANY DEVICE THAT IS A BILLABLE DEVICE AT ANY TIME DURING THE BILLING PERIOD WILL BE CHARGED THE FULL AMOUNT FOR THAT BILLING PERIOD.
- YOU WILL BE OBLIGATED TO PAY FOR ALL BILLABLE DEVICES REGARDLESS OF WHETHER OR NOT YOU HAVE COLLECTED THE APPLICABLE FEES FROM END USERS.
- Absolute reserves the right to suspend or terminate your Tenant Account(s) and the provision of Absolute’s products and related service to you, without prior notice or liability to you, if you do not pay all amounts in full when due. You will be responsible for paying for any Billable Devices in the suspended or terminated Tenant Account(s) for the billing period in which the suspension or termination takes place. You agree to indemnify and save Absolute and its affiliates harmless from any claims, actions, liabilities or proceedings brought by End Users against Absolute or its affiliates arising from or in connection with Absolute’s suspension or termination under this section.
- Your use of Absolute’s products and related services will be subject to and governed by the terms of the Absolute Master Subscription Agreement (the “MSA”) between you and Absolute (which you will be prompted to click to accept in the Hosted Service), together with the terms set out in this document. Any capitalized terms used but not defined in this document will have the meanings ascribed to them in the MSA. You expressly agree that in the event of any direct conflict or inconsistency between this document and the MSA, this document will prevail. These terms will apply to any new version of the MSA that you may agree to during the course of your use of Absolute’s products and related services.
- Absolute’s contractual relationship in connection with the provision of Absolute’s products and related services is solely with you as an MSP, not End Users, and Absolute will have no obligations or liability to End Users. You will not permit any of the End Users to access the Hosted Service or your Tenant Account(s). You will be solely responsible for all direct contact with End Users and for all Tenant Account administration. Any technical support provided by Absolute will be provided to you, not to End Users.
