Directors and Officers

The Board of Directors of Absolute Software for fiscal 2007 are John Livingston (Chairman and Chief Executive Officer), and three outside directors: Ian Reid, Terry Libin and Christian Cotichini. The Company has two committees of the board comprised of the three outside directors. The committees are the Audit Committee and the Compensation Committee.

John Livingston, Chairman and CEO
John Livingston has served as Absolute’s Chairman and CEO since 1995, growing the company from its infancy to 135 employees in 2007. Absolute invented the computer tracking and loss control product category with the introduction of "Computrace" in 1994. Under Mr. Livingston’s leadership, Absolute has evolved to offer a full range of business solutions encompassing physical, data and network security as well as IT asset management. After completing a traditional venture capital round of financing in 1998, Mr. Livingston led the organization into the public market, completing a $22 million IPO in 2000. Prior to taking the helm of Absolute, Mr. Livingston was a faculty member of the School of Business at the British Columbia Institute of Technology. He also founded and managed a computerized reservation service and a record production company. Mr. Livingston holds a Masters of Business Administration from the University of Calgary.

Phil Gardner, Chief Technology Officer
Phil Gardner has served as Absolute’s Chief Technology Officer since 1997. He is responsible for creating and establishing the software service delivery method of Absolute's unique client/server architecture. Before joining Absolute, Mr. Gardner was a senior software architect at Quarterdeck Corporation where he was responsible for developing its flagship product QEMM, a software application to manage computer memory. He also assisted in the coordination of Quarterdeck’s in-house technical and field support, quality assurance and software development. Mr. Gardner is a veteran of the United States Navy with a diverse range of PC, satellite communications and radar experience.

The outside Directors of the Company include:

Christian Cotichini
Mr. Cotichini founded Absolute in November 1993, has been a director since inception, and is also Chairman of Absolute’s Compensation Committee. Mr. Cotichini is a resident of Vancouver, British Columbia (“BC”) and during the past five years, his principal occupation has been as Executive Vice President of Make Technologies, Inc. (an Internet engineering outsource company).

Ian Reid
Mr. Reid joined Absolute as a director in January 2000, and is also Chairman of the Audit Committee. Mr. Reid is a resident of Vancouver, BC. He was founder of Sierra Systems Group and Chief Financial Officer until 1999. During the past five years, his principal occupation has been as President of Rastus Holdings Ltd. (a business holding company). Mr. Reid returned to Sierra Systems Group as Interim Chief Executive Officer in 2004 to 2005.

Terry Libin
Mr. Libin joined Absolute as a director in January 1996. Mr. Libin is a resident of Calgary, Alberta, and during the past five years, his principal occupation has been as President of Highfield Development Ltd. (a privately owned real estate development company).

Eight Laptops Stolen from Texas School Recovered
In March 2006, a laptop cart with 8 laptop computers was stolen from the computer lab of Mesquite High School one night. Within a month, the Mesquite PD had recovered all 8 laptops with the help of Computrace. Two juveniles are facing charges.

“That laptop cart represented one-third of the high school’s entire career and technology laptop fleet,” says Judy Rollins, Director of Career & Technology at Mesquite ISD. “A theft like that affects students, teachers and learning outcomes. I can’t thank Absolute Software enough for getting them back into the hands of our students.”
